14. Governing Law and Jurisdiction

These Terms of Use are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

You agree to the exclusive jurisdiction of the state and federal courts located in New York County, New York for any disputes arising out of these Terms of Use.

15. Severability

If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms of Use, together with the Privacy Policy, constitute the entire agreement regarding your use of the Site.
