Please read these terms of use (the “Terms of Use”) carefully before using the website located at www.circuitsecurity.com and any of its subdomains (collectively, the “Site”) operated by S&B Labs Inc. (“Circuit,” “we,” “us,” or “our”).

These Terms of Use govern your access to and use of the Site and any Circuit-controlled webpages that link to these Terms of Use. These Terms of Use do not apply to products or services that Circuit provides to customers under a separate written agreement (such as a services agreement or order form). In the event of any conflict between these Terms of Use and a signed agreement between you and Circuit, the signed agreement will prevail.

2. Acceptance

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and all policies referenced within them. If you do not agree, you must discontinue use of the Site.

These Terms of Use also apply to communications sent from the @circuitsecurity.com email domain, Circuit’s official social media channels, including https://www.linkedin.com/company/circuitsecurity/, and other materials that indicate they are subject to these Terms of Use (“Circuit Communications”).

If you do not agree to the applicable terms, you should (i) request a waiver in writing from Circuit, or (ii) cease engaging with Circuit Communications.

3. Scope of Use

The Site and Circuit Communications are provided for general informational purposes only. You agree to use the Site only for lawful purposes and in compliance with all applicable laws.

Without limitation, you agree not to:

  • Access or use the Site in any manner that could damage or impair Circuit’s systems;
  • Attempt to gain unauthorized access to any Circuit systems or data;
  • Interfere with or disrupt the Site or any related networks;
  • Introduce viruses, malware, or other harmful code;
  • Scrape or extract data, by any means, from the Site without our prior written permission;
  • Use the Site in any manner that infringes or misappropriates intellectual property rights.

Circuit may, at any time and in its sole discretion, suspend or terminate your access to the Site if we believe you have violated these Terms of Use or any applicable law.

The information provided on the Site and in Circuit Communications is for informational purposes only and you should not place any undue reliance on it.

Circuit does not guarantee:

Circuit grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site solely for your personal or internal business use. Unauthorized use of this Content is strictly prohibited.

You may not:

  • Copy, distribute, modify, create derivative works of, or publicly display any Content;
  • Reverse engineer or attempt to extract source code from any part of the Site;
  • Remove, alter, or obscure proprietary notices.

Any personal information collected through the Site or Circuit Communications will be processed in accordance with Circuit’s Privacy Policy, which is incorporated by reference.

Children’s Privacy

The Site is not directed at individuals under the age of 13.

  • Circuit is not responsible for any loss or damage caused by Third-Party Content; and
  • Your interactions with third parties are solely between you and the applicable third party.

9. User Content

If you submit, upload, or provide content, feedback, or suggestions to Circuit (“User Content”), you grant Circuit a worldwide, irrevocable, perpetual, royalty-free, sublicensable license to use, modify, reproduce, and create derivative works from such User Content.

You represent and warrant that you have all rights necessary to provide such User Content and that it does not violate any third-party rights.

10. Limitation of Liability

Circuit, its directors, employees, or agents will not be liable, whether in contract, tort, strict liability or otherwise, for any direct, indirect, incidental, consequential, punitive or special damages or losses arising out of, or in any way connected with, your access to or use of the Site or Circuit Communications, even if Circuit has been advised of the possibility of any such liability.

To the extent Circuit is found liable to you under applicable law, Circuit’s aggregate liability arising out of or relating to the Site, Circuit Communications, or these Terms of Use will be limited to one hundred U.S. dollars (US$100) (or, if lower, the minimum amount required under applicable law).

11. Indemnification

You agree to indemnify, defend, and hold harmless Circuit and its directors, officers, employees, agents, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

  • Your access to or use of the Site, Circuit Communications, or Content;
  • Your violation of these Terms of Use; or
  • Your violation of any applicable law or the rights of any third party.

12. Amendments to these Terms

We may amend these Terms of Use from time to time. When we do, we will update the “Last updated” date at the top of these Terms of Use. Your continued use of the Site after any changes constitutes your acceptance of the updated Terms of Use. If you do not agree to the updated terms, you must stop using the Site.

13. Assignment

Circuit may assign its rights and obligations under these Terms of Use. You may not assign your rights without our prior written consent.

14. Governing Law and Jurisdiction

These Terms of Use are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

You agree to the exclusive jurisdiction of the state and federal courts located in New York County, New York for any disputes arising out of these Terms of Use.

15. Severability

If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms of Use, together with the Privacy Policy, constitute the entire agreement regarding your use of the Site.
